For valuable consideration, including acceptance as a member of Springfield's Best, Inc., a not-for-profit Missouri Corporation (the "Company"), the undersigned applicant hereby agrees to the following:
- Upon acceptance as a member of the Company I agree to pay membership dues in the amount of $250.00 per month, such dues payable in advance on or before the 15th of each month in which such dues are incurred, and continuing for a minimum of twelve (12) months and every twelve (12) months thereafter following any renewal so long as I remain a member. I agree to pay $250.00 as a one-time activation fee with my application for membership. In the event my application is declined, my $250.00 activation fee will be returned or refunded.
- I agree to the terms of the current Bylaws of the Company, and represent that I meet the requirements for membership as stated therein. I agree to comply with and be bound by 1) Bylaws of the Company, as may be amended, including any changes or additions to membership qualification, dues and fees adopted thereby, and 2)any policies and procedures as may be lawfully adopted by the Board of Directors.
- I understand and agree that the Company may immediately terminate my membership at any time if it should be determined, by the sole discretion of the Company, that I do not qualify for continued membership or I am in violation of Company policies as approved by the Board of Directors or in the Bylaws of the Company. If I am terminated, I agree that I must pay all dues and fees which I owe for the minimum twelve (12) month term or through the last day of the month in which termination is effective, whichever is the latest.
- My membership will renew automatically twelve (12) months after the date the Company accepts my application for membership and each successive twelve (12) month period unless terminated as set forth in this Agreement. In the event I decide to terminate my membership, I agree that I shall give written notice to the Company no less than 30 days before the date on which my annual membership renews. I also agree to pay all dues and charges that are owed through the last day of the month in which such termination is to be effective. In the event I do not give the required notice thirty (30) days or more prior to the date my membership renews, then I will be obligated to pay dues each twelve (12) month period after the renewal. By the way of example only, if my membership was originally accepted by the Company on September 1, 2010, and I give written notice of termination August 3, 2011 (which is less than 30 days prior to the renewal date of September 1, 2011), then I am responsible for membership dues from September 1, 2011 through August 31, 2012. By way of further example, if my membership renewed automatically on September 1, 2011 and I gave notice of termination on December 31, 2011, then I am responsible for membership dues through August 31, 2012.
- I agree that I will not be included in any Company related advertising or membership lists placed after notice of any termination, and may immediately begin to remove all references to my organization as a member of Springfield's Best, Inc., from all advertising sponsorship and related materials.
- Upon any termination of my membership, I agree to immediately remove all decals, logos and any signage or reference to my membership in the Company from, in or on my advertising, signage, premises, company vehicles or other property, stationery, media or forms of communication, and I shall no longer refer to my organization as being a member (or post member) of the Company.
- In the event I do not comply with or satisfy any term or condition of my membership, including, without limitation, my obligations to 1) pay all dues and charges owed to the Company and 2) upon termination, remove and cease use of Company decals or logos or references to my membership, I agree to pay and reimburse the Company all legal fees and costs incurred by the Company in enforcing such obligations or any of the terms and conditions of membership.
- I agree that the Company in its absolute discretion may “set off” any monies owed by the Company to me by deducting any outstanding dues or other monetary amounts owed by me to the Company.
- The membership Agreement shall not be effective until, but shall become effective upon, acceptance by the Company as will be evidenced by the signature or the Executive Director of the Company in the space provided below.
- Missouri law shall apply to this Agreement.
